Richard E. Dauch is trustee and beneficiary of the Richard E. Dauch Trust DTD 11-13-91, the Richard E. Dauch Annuity Trust DTD 4-26-06 and the Dauch Annuity Trust 2007, which together own a total of 1,993,717 shares as of 12/31/06. Richard E. Dauch is co-trustee and beneficiary of the Dauch Care Trust, which owns 433,700 shares as of 12/31/06. Mr. Dauch beneficially owns 286,838 shares of restricted stock that will vest no earlier that March 15, 2008. Richard E. Dauch holds options exercisable within 60 days of 12/31/06 to acquire 1,505,000 shares. Richard E. Dauch is president of the Richard E. and Sandra J. Dauch Family Foundation, a charitable foundation under Internal Revenue Code Section 501(c)(3), which owns 411,710 shares as of December 31, 2006.

Richard E. Dauch disclaims beneficial ownership of all shares held by the Sandra J. Dauch Gift Trust dated May 25, 1998 (“Trust”), of which his spouse is trustee and beneficiary.
