     This Tender Offer Statement on Schedule TO relates to a one-time Stock Option Exchange Program (the “Program”) offered by Motorola, Inc., a Delaware corporation (“Motorola” or the “Company”), under which Eligible Employees (as defined below) will be permitted to exchange outstanding stock options to purchase up to an aggregate of 112,338,621 shares of the Company’s common stock as of April 22, 2009, whether vested or unvested, that were granted prior to June 1, 2007, expire after December 31, 2009 and have an exercise price equal to or greater than $12.00 per share (“Eligible Options”).
     Eligible Options may be exchanged for a lesser number of stock options (“Replacement Options”) that will be granted under the Motorola Omnibus Incentive Plan of 2006 upon the terms and subject to the conditions set forth in (1) the Offer to Exchange Certain Outstanding Options for Replacement Options dated May 14, 2009 (the “Offer to Exchange”) attached as Exhibit (a)(1)(A); (2) the email announcement of the Launch of the Program dated May 14, 2009 from the Company’s Co-Chief Executive Officers, Gregory Q. Brown and Sanjay K. Motorola’s directors and executive officers (as defined under Rule 3b-7 of the Securities Exchange Act of 1934, as amended) and members of the Motorola senior leadership team are not eligible to participate in the Program.
