ITEM 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     Effective April 25, 2008, Richard Small, Senior Vice President, Corporate Controller and Chief Accounting Officer, resigned. On an interim basis Martin S. Headley, Executive Vice President and Chief Financial Officer, will serve as Chief Accounting Officer. As part of an orderly transition, Brooks Automation anticipates that a new Corporate Controller and Chief Accounting Officer will be appointed within the coming weeks.
