The shares (the "Shares") to be registered hereunder are common shares
of beneficial interest, without par value, of Calamos Strategic Total Return
Fund (the "Registrant"). A description of the Shares is contained under the
heading "Description of Shares" in the prospectus included in the Registrant's
Registration Statement on Form N-2 filed on January 7, 2004 and as amended by
pre-effective amendment No. 1 on February 23, 2004 under the Securities Act of
1933, as amended, and the Investment Company Act of 1940, as amended
