Item 9. Regulation FD Disclosure.

     On February 26, 2004, Manhattan Associates, Inc. (the “Company”) issued a press release regarding the execution by the Company of an employment agreement with Peter F. Sinisgalli, pursuant to which Mr. Sinisgalli will serve as the President and Chief Operating Officer of the Company effective April 12, 2004 and continuing through June 30, 2004, and as President and Chief Executive Officer of the Company effective July 1, 2004. A copy of the press release is attached as Exhibit 99.1.
