Section 3 — Securities and Trading Markets
Item 3.01 Notice of Failure to Satisfy a Continued Listing Rule
     By letter dated November 17, 2005, the Nasdaq Stock Market has notified us that we do not comply with MarketPlace Rule 4310(c)(2)(B) which requires us to have a minimum $2,500,000 in stockholder’s equity or $35 million market value of listed securities or $500,000 of net income from continuing operations for the most recently completed fiscal year or two of the three most recently completed fiscal years. Consequently, our shares will be delisted from the Nasdaq SmallCap Market effective at the opening of business on Monday, November 21, 2005. We expect our shares will begin trading in the “pink sheets.” We will seek to have our shares traded on the OTB Bulleting Board.
