NARRATIVE
     State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report portion thereof could not be filed within the prescribed time period.
     Lennar Corporation (the “Company”) is changing its homebuilding reportable segment from a single, nationwide segment to regional reportable segments. This change in reportable segments will not affect the Company’s financial condition, results of operations or cash flows, but will result in additional footnote disclosure and additional discussion in the Company’s Management’s Discussion and Analysis of Financial Condition and Results of Operations in its filings with the Securities and Exchange Commission.
     Because of this change in reportable segments, the Company is filing this extension for the filing of its Form 10-Q for the quarterly period ended May 31, 2006, which was due today. The Company expects to file the Form 10-Q within the five-day extension period provided under Rule 12b-25.
