PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
We are unable to timely file our report on Form 10-Q for the fiscal quarter ended September 30, 2006 (the “Form 10-Q”) by the due date of November 14, 2006 without unreasonable effort or expense. The reasons therefore are set forth below.
Due to a recent amendment of our accounts receivable factoring arrangement, we have determined it necessary to obtain an updated legal opinion as to whether the legal isolation criteria under Financial Accounting Standards Board Statement No. 140, Accounting for Transfers and Servicing of Financial Assets and Extinguishments of Liabilities, has been met to support the continuation of sale accounting for the receivables transferred under the arrangement. Without this legal opinion our independent registered public accountants are unable to complete their review of our financial statements.
We have engaged legal counsel who is in the process of providing an updated legal opinion. Once, and if, the legal opinion has been obtained, we will be able to complete our assessment, the related financial statements and disclosures and the related Form 10-Q.
