The Registrant is unable to file its Quarterly Report on Form 10-Q for the period ended March 31, 2003 (the "10-Q") within the prescribed time period without unreasonable effort or expense. The reasons causing the Registrant's inability to file timely are beyond its control and could not be eliminated by the Registrant without unreasonable effort or expense. The Registrant's liquidity difficulties and the ongoing developments with its lender have necessitated last minute changes to its required disclosures. Revenues for the three months ended March 31, 2003 were $12.8 million compared to $10.9 million in the comparable period of 2002, an increase of $1.9 million or 17.4%. The Company had a net loss of $3.1 million in the three months ended March 31, 2003 compared to net income of $0.007 million in the comparable period of 2002.
