Schneider National, Inc. Announces Second Quarter 2022 Results

  • Operating Revenues $1.7 billion; $1.4 billion in 2021
  • Income from Operations $177 million; Adjusted Income from Operations $175 million

Schneider National, Inc. (NYSE: SNDR, “Schneider” or the “Company”), a leading transportation and logistics services company, today announced results for the three and six months ended June 30, 2022.

“Our enterprise delivered solid earnings performance in the second quarter, illustrating the utility and momentum of our multimodal platform,” said Mark Rourke, Chief Executive Officer and President of Schneider. “Two of our strategic growth offerings crossed meaningful milestones in the quarter. Dedicated operated over 6,000 tractors in the quarter, an increase of over 40% from a year ago. Our Logistics segment achieved record earnings of $47.3 million on 21% growth in revenue over a year ago.”

“As strong as the second quarter was, we did observe signs of moderation in freight market conditions as the quarter progressed, consistent with industry narrative,” Rourke commented. “However, we continue to expect a constructive freight environment for the remainder of 2022, including a return of seasonality, starting with fourth of July holiday and back-to-school demand. We believe we are well-positioned as a result of the purposeful shaping of our portfolio over the past several years to drive durable earnings and shareholder value.”

Enterprise Results

Enterprise income from operations for the second quarter of 2022 was $176.6 million, an increase of $50.8 million, or 40%, compared to the same quarter in 2021. Adjusted income from operations for the second quarter of 2022 was $174.8 million, an increase of $49.0 million, or 39%, compared to the prior year. Gains on the sale of revenue equipment in the second quarter of 2022 were $2.8 million, compared to $14.1 million the prior year. In addition, diluted earnings per share was negatively impacted by $0.09 year over year due to changes in the value of equity investments.

At June 30, 2022, the Company had a total of $211.8 million outstanding on various debt instruments compared to $270.3 million as of December 31, 2021. The Company had cash and cash equivalents of $331.0 million and $244.8 million as of June 30, 2022 and December 31, 2021, respectively.

In April 2022, the Company’s Board of Directors declared an $0.08 dividend payable to shareholders of record as of June 10, 2022. This dividend was paid on July 11, 2022. On July 25, 2022, the Company’s Board of Directors declared an $0.08 dividend payable to shareholders of record as of September 9, 2022, expected to be paid on October 10, 2022.

Results of Operations – Reportable Segments

Truckload

Truckload revenues (excluding fuel surcharge) for the second quarter of 2022 were $571.6 million, an increase of $96.4 million, or 20%, compared to the same quarter in 2021 due to Midwest Logistics Systems revenues, effective yield management, and dedicated new business growth, partially offset by lower network miles. Truckload revenue per truck per week was $4,242, an increase of 6% compared to the same quarter in 2021.

Truckload income from operations was $80.7 million in the second quarter of 2022, an increase of $7.1 million, or 10%, compared to the same quarter in 2021. Earnings growth due to the factors cited above more than offset the impact of higher driver-related and dedicated start-up costs, and lower gains on sale of revenue equipment. Truckload segment operating ratio was 85.9% in the second quarter of 2022, compared to 84.5% in the second quarter of 2021.

Intermodal

Intermodal revenues (excluding fuel surcharge) for the second quarter of 2022 were $335.1 million, an increase of $61.1 million, or 22%, compared to the same quarter in 2021 primarily driven by revenue per order and volume growth, despite continued rail and customer fluidity challenges. In addition, container count grew 28% compared to the same quarter a year ago.

Intermodal income from operations for the second quarter of 2022 was $42.3 million, an increase of $7.4 million, or 21%, compared to the same quarter in 2021, primarily due to favorable revenue management actions, partially offset by increased rail and dray driver costs. Intermodal operating ratio was 87.4% in the second quarter of 2022, compared to 87.3% in the second quarter of 2021.

Logistics

Logistics revenues (excluding fuel surcharge) for the second quarter of 2022 were $521.3 million, an increase of $90.6 million, or 21%, compared to the same quarter in 2021 due to increased revenue per order, higher volumes within our brokerage offering including increased contribution from the Power Only service offering, and incremental port dray revenues.

Logistics income from operations for the second quarter of 2022 was $47.3 million, an increase of $30.3 million, or 178%, compared to the same quarter in 2021. Effective gross margin management throughout the quarter enabled growth in net revenue per order. Logistics operating ratio was 90.9% in the second quarter of 2022, compared to 96.1% in the second quarter of 2021.

Business Outlook

“Our updated full year adjusted diluted earnings per share guidance is $2.60 - $2.70, an increase from our prior guidance of $2.55 - $2.70, based on our expectations for moderating, yet stable, freight fundamentals throughout the remainder of 2022,” Rourke commented. “Our full year guidance for net capital expenditures remains at approximately $500 million, subject to OEM supply chain constraints.”

Non-GAAP Financial Measures

The Company has presented certain non-GAAP financial measures, including revenues (excluding fuel surcharge), adjusted income from operations, adjusted operating ratio, adjusted net income, and adjusted diluted earnings per share. Management believes the use of non-GAAP measures assists investors in understanding the business, as further described below. The non-GAAP information provided is used by Company management and may not be comparable to similar measures disclosed by other companies. The non-GAAP measures used herein have limitations as analytical tools and should not be considered in isolation or as substitutes for analysis of results as reported under GAAP.

A reconciliation of net income per share to adjusted diluted earnings per share as projected for 2022 is not provided. Schneider does not forecast net income per share as the Company cannot, without unreasonable effort, estimate or predict with certainty various components of net income. The components of net income that cannot be predicted include expenses for items that do not relate to core operating performance, such as costs related to potential future acquisitions, as well as the related tax impact of these items. Further, in the future, other items with similar characteristics to those currently included in adjusted net income, that have a similar impact on the comparability of periods, and which are not known at this time may exist and impact adjusted net income.

Reconciliation of Non-GAAP Financial Measures

(unaudited)

In this earnings release, we present the following non-GAAP financial measures: (1) revenues (excluding fuel surcharge), (2) adjusted income from operations, (3) adjusted operating ratio, (4) adjusted net income, and (5) adjusted diluted earnings per share. We also provide reconciliations of these measures to the most directly comparable financial measures calculated and presented in accordance with GAAP.

Management believes the use of each of these non-GAAP measures assists investors in understanding our business by (1) removing the impact of items from our operating results that, in our opinion, do not reflect our core operating performance, (2) providing investors with the same information our management uses internally to assess our core operating performance, and (3) presenting comparable financial results between periods. In addition, in the case of revenues (excluding fuel surcharge), we believe the measure is useful to investors because it isolates volume, price, and cost changes directly related to industry demand and the way we operate our business from the external factor of fluctuating fuel prices and the programs we have in place to manage such fluctuations. Fuel-related costs and their impact on our industry are important to our results of operations, but they are often independent of other, more relevant factors affecting our results of operations and our industry.

Although we believe these non-GAAP measures are useful to investors, they have limitations as analytical tools and may not be comparable to similar measures disclosed by other companies. You should not consider the non-GAAP measures in this report in isolation or as substitutes for, or alternatives to, analysis of our results as reported under GAAP. The exclusion of unusual or infrequent items or other adjustments reflected in the non-GAAP measures should not be construed as an inference that our future results will not be affected by unusual or infrequent items or by other items similar to such adjustments. Our management compensates for these limitations by relying primarily on our GAAP results in addition to using the non-GAAP measures.

Adjustments to arrive at non-GAAP measures are made at the enterprise level, with the exception of fuel surcharge revenues, which are not included in segment revenues.

We define “adjusted income from operations” as income from operations, adjusted to exclude material items that do not reflect our core operating performance. Included below is a reconciliation of income from operations, which is the most directly comparable GAAP measure, to adjusted income from operations.
