     On February 19, 2008, India Globalization Capital, Inc. (the “Company”) issued a press release announcing  that the Company’s Special Meeting of Stockholders  originally scheduled to be convened on February 20, 2008 at 10:00 a.m., Eastern  Standard Time, will be postponed  until 10:00 a.m., Eastern  Standard Time on  Wednesday, February 27, 2008 as the Company continues to seek proxies.   A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.
